Our client, a large technology company, is seeking a corporate transactional paralegal to join their team. Candidate will possess 5+ years of experience as a corporate paralegal within a large law firm or in-houise legal working environment.

Experience in the following:
• Formation and dissolution of various entities such as corporations, limited liability companies, limited partnerships and general partnerships.
• Conduct blue sky research for securities compliance and prepare and file securities notices.
• Prepare and process various governmental filings with the Secretary of State, IRS and FTB.
• Conduct UCC searches and prepare and process filings, including financing statements, amendments and terminations.
• Prepare board and shareholders resolutions for company.
• Stock and stock option administration; prepare and update cap tables and stock and stock option ledgers; prepare stock certificates, corporate maintenance/governance.
• Maintain minute books.
• Prepare closing binders.

BS/BA degree required and/or paralegal certificate. Hourly rate $30/hour+.
